REFUND & CANCELLATION POLICY

1. Overview & Agreement
This Refund and Cancellation Policy (“Policy”) governs all purchases, service agreements, proposals, invoices, and transactions made with Ovis Digital, a registered trade name (DBA) of Matthew Carpenter LLC (collectively “Ovis Digital,” “we,” “us,” or “our”).
By engaging our services, approving a proposal, signing an agreement, or submitting payment through any channel — including website checkout, invoice payment, electronic communication, or verbal confirmation — you (“Client” or “Customer”) acknowledge that you have read, understood, and agreed to this Policy.
This Policy is incorporated by reference into all service agreements, proposals, statements of work, and invoices issued by Ovis Digital.
2. General Refund Policy
Due to the nature of digital and professional services — including but not limited to web design, development, SEO, advertising management, automation, consulting, creative design, and software configuration — most services involve immediate allocation of labor, strategy, and third-party tools upon payment.
For this reason:
Refunds are not typical once work has begun or services have been delivered.
However, we value long-term relationships and will consider refund requests in good faith if a legitimate concern arises. Any such request must be submitted in writing and will be reviewed on a case-by-case basis.
Refund eligibility may depend on:
- Whether work has begun
- The percentage of work completed
- Direct costs already incurred
- The terms of the signed proposal or agreement
Refunds will not generally be granted for:
- Change of mind
- Budget changes or business circumstance changes
- Delays caused by Client inaction or failure to provide required materials
- Dissatisfaction where services were delivered as agreed
- Subscription billing periods already commenced
Except as expressly provided in Section 6 (Exceptions), all payments are considered earned as work is performed.
3. Cancellation of Services
Clients may cancel ongoing or future services at any time by providing written notice.
Cancellation:
- Stops future work and/or future billing (if applicable)
- Does not automatically entitle the Client to a refund for services already performed
- Does not relieve the Client of payment obligations for completed work
For subscription or recurring services, cancellation must be received prior to the renewal date to prevent the next billing cycle. If cancellation is received after renewal, services will continue through the end of the paid billing period.
No prorated refunds are typically issued for partially used billing periods unless otherwise agreed in writing.
4. Definition of Service Delivery
For clarity, “delivery” of services may include:
- Submission of digital files, designs, reports, or code
- Completion of consulting sessions or strategy calls
- Campaign setup or account configuration
- Website launch or publication
- Performance of billable tasks
- Hosting, maintenance, or monitoring services rendered during an active billing period
Once services have been substantially delivered, refunds are generally not available, though concerns may be addressed through revision, correction, or service credit when appropriate.
5. Communication & Payment Disputes
We encourage open communication.
If you believe a billing error or service issue has occurred, please contact us in writing at hello@ovis.digital before initiating a dispute with your bank or payment processor.
Refunds are not typical, but if you reach out to us and there is a legitimate reason, we will consider refund requests in good faith.
We maintain detailed records of agreements, invoices, communications, and project milestones to ensure transparency and fairness in resolving concerns.
Our goal is always to resolve issues directly and professionally.
6. Limited Exceptions & Service Credits
In rare cases where:
- Ovis Digital fails to deliver an agreed-upon service entirely, and
- The failure is solely attributable to Ovis Digital, and
- The Client provides written notice within five (5) business days of the missed delivery
We may, at our discretion:
- Provide a service credit, or
- Issue a partial refund proportional to the undelivered portion
This does not apply to performance outcomes such as rankings, traffic, or revenue results, which cannot be guaranteed.
7. No Guarantee of Specific Results
Ovis Digital provides professional services and strategy, but we do not guarantee specific outcomes such as:
- Search rankings
- Traffic volume
- Advertising ROI
- Lead volume
- Revenue increases
Results depend on many factors beyond our control, including market conditions, competition, platform algorithm changes, and client responsiveness.
Failure to achieve a specific business result does not constitute grounds for refund.
8. Limitation of Liability
To the maximum extent permitted by law:
Ovis Digital’s total liability for any claim arising out of or related to services provided shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.
Ovis Digital shall not be liable for:
- Indirect damages
- Consequential damages
- Lost profits
- Lost revenue
- Business interruption
- Data loss
- Punitive damages
This limitation applies regardless of the legal theory asserted.
9. Indemnification
Client agrees to indemnify and hold harmless Ovis Digital and Matthew Carpenter LLC from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of:
- Client-provided content
- Client misuse of services
- Violations of third-party rights
- Regulatory or compliance violations related to Client’s business
10. Governing Law & Jurisdiction
This Policy shall be governed by the laws of the State of Washington.
Any legal action arising from this Policy shall be brought in the state or federal courts located in Benton County, Washington.
The prevailing party in any dispute shall be entitled to reasonable attorneys’ fees and costs.
11. Acknowledgment
By engaging services, approving proposals, or submitting payment, the Client acknowledges acceptance of this Policy, even if not physically signed, provided the Policy was made available prior to or at the time of purchase.
